JudgmentEnforcementAgency.net WEB SITE ADVERTISING AGREEMENT

Brian Petrone Judgment Enforcement Agency & Payment Systems agrees to display client's Advertisement and provide the "link" from this ad to the client's web site if and only if the web site to be linked to has a Page Rank of 3 or higher. This ad shall be displayed on specific pages of the chosen Association(s) Web Site.  The client agrees to supply an ad banner and URL to link to. By signing this agreement, the client agrees to hold Brian Petrone Judgment Enforcement Agency & Payment Systems harmless for the content of their advertising and all links they provide access to.

PARTIES: Pursuant to this binding agreement, Brian Petrone Judgment Enforcement Agency & Payment Systems , (Payment Systems), located at 1445 US Highway 130, North Brunswick, NJ 08902, and Client, also known as located at ,
Client shall pay to Payment Systems $ and Payment Systems  shall reserve 12 months of Advertising Space from the advertising Start Date of .
(if by Check), or by agreement using the Links on the Advertising Page, the selected method will supersede the payment section on this agreement.

DEFINITIONS:

"Advertising Space" means available Advertisement stored and maintained by Payment Systems for the State(s) chosen.
"Advertisement" means the graphic file supplied by Client.
"Advertiser" means the Client who has contracted to place an advertisement on an State section of the site.
"Link" means the directions to take a responder to your ad to the place of your choice. This allows the responder to go directly to your spot with one click.
"Slot" means an HTML page, which may include a Payment Systems Advertising Space and the sponsor's Advertisement.
"Start Date" means the first day Payment Systems will display the Advertisement. This is also the "Anniversary Date" of the Agreement.
"End Date" means the last day Payment Systems will display the Advertisement.
"Payment": Annual fee must be returned with a signed contract in the form of a Check made payable to " Brian Petrone Judgment Enforcement Agency & Payment Systems , Inc.".

Payment Systems agrees to have the Advertisement posted within 30 days of receiving this contract fully executed, and all artwork, materials, etc., from Advertiser. The twelve-month duration of this contract does not begin until the ad is posted on the site. Any creative work, modification or design work done by Payment Systems necessary to create/complete your ad. Any alteration or modification of Advertiser's copy shall not be made without Advertiser's prior written consent. See Addendum A for ad specifications.

MULTIPLE STATE ADVERTISING: The Payment Systems advertising sites are available on a state-by-state basis. You have the option to select state wide or local advertising (where applicable) within each state. Each state's twelve (12) month term begins on the date the Advertisement is first posted on one of that state's sites. This Agreement may, therefore, have multiple terms and anniversary dates running simultaneously and independently based on the Start Date in a particular state. If Advertiser has elected to advertise in more than one state, this Agreement will be renewed, as set forth below, on the individual state's Anniversary Date. For each additional state chosen, Advertiser shall execute an addendum to this Agreement, Addendum "B," which shall identify the state, the Anniversary Date and the advertising opportunities selected.

ADVERTISING RATE DISCOUNT: A volume discount of twenty (20%) percent off current advertising rates is offered to national Advertisers. Eligibility for this discount requires Advertiser to agree to advertise in all states currently available and to agree to add states as they become available, while this Agreement is in effect.

CONTENT AND DESIGN: Payment Systems reserves the right to censor, reject, alter, or refuse any Advertisement that does not completely conform to rules Payment Systems has, or may adopt in the future. Payment Systems will not be liable, and will not provide free additional advertising time for client's failure or delay in providing required information. Payment Systems will accept advertising that Payment Systems solely feels reflects positively on the community and the industry. Payment Systems may, at its complete discretion, refuse any advertising. This Agreement is voidable by Payment Systems if Advertiser fails to disclose, conceals, and/or misrepresents the actual client and/or Advertisement.

TRUTH IN ADVERTISING / INDEMNIFICATION FOR LIABILITY: Advertiser is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, and/or (2) any material to which users can link through the Advertisement. Advertiser represents and warrants it holds the necessary rights to permit the use of the Advertisement and Link by Payment Systems for the purpose of this Agreement. Advertiser agrees to indemnify and hold Payment Systems harmless from any and all liability, loss, damages, claims, or causes of action; including reasonable legal fees and expenses that may be incurred by Payment Systems, arising out of or related to Advertiser's breach of any of the foregoing representations and warranties.

If the space desired by the Advertiser is not available, a substitute option may be provided if available. If Advertiser accepts the substitute, it will not effect this contract. If rejected by the Advertiser, this contract is considered null and void and all advertising fees for the rejected ad will be returned.

LIMITATION ON DAMAGES: In no event will Payment Systems be liable for any damages beyond the actual payments made for the current advertising year.

ASSIGNMENT: Advertiser may not assign this agreement, in whole or in part, without Payment Systems' written consent. Any attempt to assign this Agreement without such consent will not be honored.

Advertiser can cancel this contract at any time, however, refunds will only be given at the discretion of Payment Systems, and only if a replacement Advertiser is found.

GOVERNING LAW: This Agreement will be governed by and construed in accordance with the laws of the State of New Jersey.

ENTIRE AGREEMENT: This Agreement, all exhibits and attachments, are the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral), regarding such subject matter. All pricing will be governed by Payment Systems' Pricing Information; whether printed on paper or electronically. The terms and conditions of this Agreement will prevail over any contrary or inconsistent terms in any purchase order. This Agreement may only be modified, or any rights under it waived, by a written document executed by both parties.

Payment Systems may cancel this Agreement at any time if the Advertiser breaches any term or condition of this Agreement, including the failure to pay any bill submitted by Payment Systems.

Payment Systems shall give Advertiser written notice of cancellation not less than 30 days before the cancellation is to be effective. If Payment Systems cancels this Agreement, the Advertiser shall immediately pay for all advertising, services or costs incurred by Payment Systems pursuant to this Agreement for the benefit of Advertiser.

The term of this Agreement shall be for a period of twelve (12) months. The Advertiser is entitled to a "first right of refusal" for the space they previously held. The Advertiser may renew this Agreement for an additional twelve (12) month period by renewing no less than 60 days prior to contract expiration. Failure to pay the invoiced amount within the above timeframe could result in a loss of preferred ad space and potentially, a complete loss of space if the balance of sites are sold out.
